1. What does this Terms of Service cover?

Media Gridz ("the Service" or "the Platform") is provided by Media Gridz Ltd. ("we", "us", or "our"). These Terms of Service govern your access to and use of the Media Gridz platform, website, and associated services. By accessing or using the Platform, you agree to comply with these Terms, our Privacy Policy, and any additional terms or policies referenced herein (collectively, the "Agreement"). If you do not agree to all terms, you may not access or use the Platform.

You must be at least 13 years old to use Media Gridz. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind such entity to this Agreement.

2. Access to your Media Gridz Account

Subject to these Terms, the Service is provided for personal or business use. "User" refers to both free users and paying customers ("Customers"). If any Customer-specific terms differ from general User terms, the Customer terms take precedence.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice. We may also restrict access to features or accounts as necessary. You are responsible for ensuring that your use of the Service complies with all local laws and for any equipment, software, or services necessary to access Media Gridz.

3. Restrictions

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service.

• Modify or create derivative works based on the Service.

• Resell, lease, or sublicense access to the Platform.

• Use automated tools (e.g., bots, crawlers, scrapers) to access or manipulate the Platform or its content.

• Bypass any security or authentication measures.

• Post or distribute unlawful, misleading, or spam content.

All intellectual property rights in the Platform and its content remain the exclusive property of Media Gridz Ltd.

4. Fees and Payment

Media Gridz offers both free and paid subscription plans. Payment for paid services is processed through third-party merchants such as Stripe, depending on your location.

By subscribing to a paid plan, you agree to the fees and billing terms at the time of purchase. Subscriptions renew monthly or annually depending on your plan. Refunds may be issued at our discretion based on specific eligibility criteria.

We reserve the right to change pricing at any time for new Customers. Existing Customers will retain their original pricing for the duration of their current subscription term.

All fees are exclusive of VAT unless stated otherwise.

5. Registration and Account Security

To use certain features of Media Gridz, you may be required to create an account using an email address or connect a third-party account (e.g., Google, Facebook). You are responsible for safeguarding your login credentials and for all activity under your account. We reserve the right to suspend or terminate accounts that violate our policies.

6. Third-Party Services

Media Gridz enables Users to connect to third-party platforms such as Instagram, LinkedIn, X (formerly Twitter), Facebook, TikTok, Telegram, and Viber for content distribution. Use of these platforms is governed by their own terms and conditions.

7. Termination

We reserve the right to terminate or suspend your access to the Platform at any time, with or without notice, and without liability. You may stop using the Service at any time by deleting your account.

If you have a paid subscription and materially breach this Agreement, we may terminate your access if the breach is not resolved within 7 days of written notice. Some provisions, such as ownership rights, warranty disclaimers, and limitations of liability, will survive termination.

8. Content Ownership and Responsibility

You retain ownership of any content you upload or distribute via Media Gridz. However, by using the Service, you grant us a limited, non-exclusive license to store, process, and publish your content as needed to deliver our services.

You agree not to post or distribute any content that:

• Infringes on third-party rights;

• Violates applicable laws;

• Is pornographic, hateful, misleading, or abusive.

We reserve the right to remove content or suspend accounts that violate these guidelines.

9. Changes to These Terms

We may revise these Terms at our discretion. Continued use of the Platform after changes are posted constitutes acceptance of the updated terms. We may also introduce new features or services, which will be subject to these Terms unless stated otherwise.

We may update pricing or plan features at any time. Changes will not affect existing Customers until the end of their current subscription cycle.

10. Warranties

We aim to deliver our Service in a professional and reliable manner. If you're a paying Customer and encounter defects, our obligation is to use commercially reasonable efforts to resolve the issue.

You represent that you have the legal right to use any third-party data or content you provide and that such use does not violate any third-party rights.

11. Warranty Disclaimer

The Media Gridz platform is provided “as is” without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. You use the Platform at your own risk.
