These Terms and Conditions ("Terms") govern your access to and use of the Media Gridz platform, website, applications, Chrome extension, and related services (collectively, the "Service"). By accessing or using Media Gridz, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

1. About Media Gridz

Media Gridz is a content automation and publishing platform that helps users transform articles and blog posts into branded social media designs, generate AI-assisted captions and images, and distribute content across supported third-party platforms.

References to "Media Gridz," "we," "us," or "our" refer to the company operating the Service. "You" or "User" refers to any individual or entity accessing or using Media Gridz.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

To use Media Gridz, you must create an account.

You agree to provide accurate, complete, and current information and to keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. Subscriptions, Billing, and Payments

Certain features of the Service require a paid subscription.

• Subscription prices, features, and billing cycles are displayed on our website

• Subscriptions are billed in advance on a recurring basis

• Payments are non-refundable except where required by law

We may change pricing or subscription plans with reasonable notice. Continued use of the Service after such changes constitutes acceptance.

5. Free Plans and Trials

5.1 Media Gridz may offer free plans or trial access.

Free plans may have limited functionality, usage caps, or other restrictions. We reserve the right to modify or discontinue free plans or trials at any time.

5.2 Abuse of Free Trials

To ensure fair use of the Service, you may not create multiple accounts to extend, restart, or circumvent free trial limitations.

Adding the same RSS feed, website, or content source through a different account, email address, or identity after a trial period has expired is considered abuse of the Service.

Media Gridz reserves the right to suspend or permanently block accounts, restrict access, or remove associated content if such behavior is detected.

6. Acceptable Use

You agree to use the Service only in compliance with these Terms, applicable laws, and the rules of any third-party platforms you connect to.

You may not:

• Use the Service for unlawful, misleading, infringing, or abusive purposes

• Interfere with or disrupt the Service or its security

• Attempt to reverse engineer, copy, resell, or exploit any part of the Service

• Use Media Gridz to spam, artificially manipulate engagement, or violate third-party platform policies

Circumvent, disable, or misrepresent any AI-content disclosure or labelling feature made available through the Service

Media Gridz may suspend or terminate accounts that engage in prohibited use.

7. User Content, Ownership, and Content Responsibility

Your Content

You retain ownership of all content you submit, import, design, or publish through the Service ("User Content").

By using Media Gridz, you grant us a limited, non-exclusive, worldwide license to host, process, store, reproduce, and display your User Content solely for the purpose of providing, operating, and improving the Service.

You represent and warrant that:

• The User Content is created by you or you otherwise have full legal rights and permission to use it

• The User Content does not infringe intellectual property rights, copyrights, trademarks, or other rights of third parties

• You will not use Media Gridz to republish, repurpose, or distribute content taken from competitors' websites, third-party publications, or other sources without authorization

• The User Content is not plagiarised, unlawful, misleading, or deceptive

Responsibility for Plagiarised or Infringing Content

You acknowledge that Media Gridz does not verify ownership, originality, or legality of User Content submitted through the Service.

Media Gridz shall not be responsible or liable for:

• Any plagiarised, infringing, or unlawful content created, generated, or published by you using the Service

• Claims, takedowns, penalties, or disputes arising from your use of third-party content without proper rights

You remain solely responsible for reviewing, approving, and ensuring compliance of all content before publishing.

Media Gridz Content

All software, templates, designs, branding, trademarks, and other intellectual property related to Media Gridz are owned by Media Gridz or its licensors and may not be copied, reused, or distributed without prior written permission.

8. AI-Generated Content and Transparency Obligations

This section applies where the Service is used to generate, rewrite, or source AI-generated or AI-modified captions and images ("AI Content"), and reflects obligations under Regulation (EU) 2024/1689 (the "EU AI Act"), including Article 50, and any equivalent transparency laws that may apply to you.

8.1 Roles. For AI Content generated through the Service, Media Gridz generally acts as the "provider" of the underlying AI system, and you act as the "deployer" who determines whether, how, and where the AI Content is published. Disclosure obligations that arise from publishing AI Content to your audience are your responsibility as deployer, except where these Terms state that Media Gridz applies a disclosure automatically.

8.2 Labelling tools we provide. Media Gridz provides tools to help you meet applicable transparency obligations, including:

• A toggle to automatically attach an AI-generated label to posts published via automatic posting;

• A prompt or default label applied at scheduling for manually posted content where an AI-generated caption has not been materially edited before publishing;

• A prompt or default label applied where an AI-rewritten caption (custom post or link-based post) has not been materially edited before publishing;

• The ability to apply an "AI," "AI Generated," or "AI Modified" icon to images that are AI-generated or AI-modified, including images sourced or pulled from your website.

8.3 Your responsibility. You are responsible for: (a) enabling and correctly configuring the labelling features described in Section 8.2; (b) determining whether AI Content you publish requires disclosure under applicable law, including where content depicts or resembles real, identifiable people, places, or events; (c) reviewing AI Content before publication where you intend to rely on any human-review or editorial-responsibility exemption available under applicable law; and (d) any additional disclosure obligations imposed by the platforms you publish to or by laws applicable to you or your audience.

8.4 No legal advice. The labelling tools and defaults described in this section are provided to support your own compliance efforts. They do not constitute legal advice, and Media Gridz does not guarantee that using them satisfies every transparency or disclosure obligation that may apply to your specific use of the Service. You should seek independent legal advice on your obligations under the EU AI Act or other applicable law.

8.5 Limitation. Media Gridz shall not be responsible or liable for your failure to enable, apply, or correctly use any AI-content disclosure or labelling feature, or for any claims, penalties, or disputes arising from undisclosed or mislabelled AI Content published through your account.

9. Third-Party Platforms

The Service integrates with third-party platforms such as social networks and publishing services.

• Media Gridz is not affiliated with, endorsed by, or responsible for any third-party platforms

• Your use of third-party platforms is governed by their own terms and policies

• Media Gridz is not responsible for platform outages, API changes, feature limitations, or content removal

We do not guarantee reach, engagement, visibility, impressions, or performance of any content published through the Service. Results depend on third-party algorithms and factors beyond our control.

10. Service Availability

We aim to provide reliable access to the Service, but availability may be affected by maintenance, updates, or circumstances beyond our control.

Media Gridz does not guarantee uninterrupted or error-free operation of the Service.

11. Termination

You may stop using the Service and cancel your account at any time.

We reserve the right to suspend or terminate your access if you:

• Violate these Terms

• Misuse or abuse the Service

• Fail to pay applicable fees

Upon termination, your right to use the Service will immediately cease, and your data may be deleted in accordance with our retention practices.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis.

Media Gridz disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, Media Gridz shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, or business opportunities.

Media Gridz's total liability for any claim shall not exceed the amount paid by you to Media Gridz in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Media Gridz from any claims, damages, losses, or expenses arising out of:

• Your use of the Service

• Your User Content, including AI Content published through your account

• Your violation of these Terms or any third-party rights

15. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect and process personal data.

16. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice.

Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of Bulgaria.
